Terms of Service

The ground rules for using TradePass. Plain language, no traps. Workers always own their TradePass; companies pay per active worker, billed in full clarity.

01Agreement

The five commitments behind these terms:
  1. Workers own their TradePass and can take it anywhere.
  2. Companies pay only for the workers they actively manage.
  3. You can cancel anytime; we’ll refund unused months on request.
  4. Material changes get 30 days’ advance notice by email.
  5. If we shut down, you get your data out.

These Terms of Service (the “Terms”) are a binding agreement between you and Sovren Services Inc., an Alberta corporation operating the TradePass service (“TradePass,” “we,” “our,” or “us”), governing your access to and use of the TradePass website, mobile and web applications, and related services (collectively, the “Services”).

By creating an account or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

If you are using the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms; in that case “you” refers to that entity.

02Eligibility and account registration

You must be at least 18 years of age to use the Services. By creating an account, you confirm that you meet this age requirement and that the information you provide is accurate, current, and complete.

You are responsible for keeping your password confidential and for all activity that occurs under your account. Notify us immediately at security@mytradepass.app if you suspect unauthorized use of your account.

The Services are offered in English across the United States and Canada.

03The Services

TradePass is a workforce-credentialing platform. Workers create a portable TradePass profile to store and share their certifications, tickets, project history, and hire-on packs. Companies use TradePass to manage rosters, track expiries, and coordinate onboarding.

TradePass is a record-keeping and visibility tool. It does not replace a company’s safety program, an auditor’s review, a regulator’s certification process, or a worker’s own responsibility to keep their tickets current. Use of TradePass does not, by itself, constitute certification, qualification, or proof of competency.

TradePass is not a Consumer Reporting Agency (CRA) under the United States Fair Credit Reporting Act (FCRA) or similar laws, and the Services are not intended to be used for “employment purposes” or other “permissible purposes” under the FCRA. 04Worker accounts and ownership

A worker’s TradePass — the certifications, files, project history, profile data, and trust metrics they have built — belongs to the worker. Workers can:

  • Leave a company’s roster at any time.
  • Take their TradePass with them between jobs and employers.
  • Make their profile private at any time.
  • Control what each company on their roster can see, per field.
  • Export their data in a portable format.
  • Delete their TradePass entirely.

Workers will never be required to pay to use TradePass. Workers always use the Services free of charge.

Worker responsibilities: the information you upload must be accurate and yours. Do not upload a ticket, certificate, or document that belongs to someone else, that has been altered, or that you do not have the right to share. Misrepresentation may result in account suspension or termination.

05Company accounts and roster management

Companies use TradePass to manage rosters of workers, track expiries, and coordinate onboarding. Company administrators are responsible for:

  • Only adding workers to their roster who have agreed to be part of it.
  • Using TradePass only for the workforce-management purposes the Services were built for. Do not use TradePass to surveil, coerce, retaliate against, or harass any worker.
  • Accurate representations to workers about what compliance data is required and why.
  • Keeping their billing information current and paying applicable fees on time.
  • Compliance with all applicable laws governing the employer-worker relationship in their jurisdictions, including wage, hour, safety, and privacy laws.

Companies do not own a worker’s TradePass and cannot prevent a worker from leaving the roster or taking their data with them.

06Subscriptions, billing, trials, refunds, cancellation

Plans and pricing

Workers always use TradePass free of charge. Companies pay per active worker on their roster, on a per-worker model:

  • A monthly minimum of CAD $49/month that includes the first 15 active workers.
  • Graduated per-worker rates for additional active workers above 15.
  • Rosters above 500 active workers move to an Enterprise plan with custom pricing.
  • Annual billing is charged at 10 months of the monthly rate (two months free).

Free trial

New company accounts receive a 30-day free trial. If you do not convert to a paid plan by the end of the trial, your account transitions to a read-only state; you can reactivate at any time by starting a paid subscription. Billing

Subscription fees are billed through Stripe in advance for the billing cycle you have selected (monthly or annual). Per-worker fees are calculated based on the active workers on your roster during the billing period.

All fees are exclusive of applicable taxes (GST, HST, PST, QST, sales tax, etc.), which we will charge in addition where required.

Renewal, cancellation, and refunds

Subscriptions renew automatically at the end of each billing cycle unless you cancel from your account’s billing settings. Cancellation takes effect at the end of the current billing period.

We will refund unused months on request. If you have been charged in error or billed incorrectly, email billing@mytradepass.app and we will resolve it promptly. Reviewfinalize refund/proration policy with counsel — current stance is goodwill, not contractual obligation

07Acceptable use

You agree not to use the Services to:

  • Violate applicable law or any third party’s rights.
  • Upload, share, or transmit content that is unlawful, defamatory, harassing, fraudulent, or that infringes intellectual-property rights.
  • Upload viruses, malware, or any other malicious code.
  • Misrepresent your identity, credentials, employment status, or authority to act on behalf of another person.
  • Probe, scan, or test the vulnerability of the Services or attempt to defeat security or authentication measures.
  • Use the Services to send unsolicited messages or spam, or for any surveillance, retaliation, or harassment of any worker.
  • Scrape, harvest, or otherwise extract data from the Services through automated means, including any automated bulk download, without our prior written permission.
  • Resell, sublicense, or commercialize access to the Services without our prior written agreement.

We may suspend or terminate accounts that violate these rules.

08Your content and our license to operate

You retain ownership of all content you upload to or generate within the Services (“Your Content”), including profile data, certifications, files, project history, checklists, and notes. You grant TradePass a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process Your Content solely as needed to provide the Services to you. This license ends when you delete the content or your account, except where retention is required by law (for example, billing records).

Where you upload third-party content (such as a logo of a company you worked for), you represent that you have the rights necessary to do so.

09Intellectual property

The Services, including the TradePass software, design, brand, trademarks, logos, and documentation, are owned by Sovren Services Inc. or our licensors. Nothing in these Terms transfers any of those rights to you. You may not copy, modify, distribute, sell, lease, or create derivative works of the Services or any portion of them without our prior written consent.

We welcome feedback. If you send us suggestions or ideas, we may use them without obligation to you. Feedback is provided as-is.

10Beta and experimental features

We may from time to time offer beta, preview, or experimental features. These features are provided as-is for evaluation purposes only, may be modified or withdrawn at any time, and are not subject to any service-level commitments. Use of beta features is at your own risk.

11Third-party services

The Services may integrate with or link to third-party services (such as Stripe for billing, Resend for email delivery, and Anthropic for optional AI features). Your use of those third-party services is governed by their own terms. We are not responsible for third-party services or their conduct.

12Service status, changes, and discontinuation

TradePass is under active development. We may add, change, or remove features as the product evolves. We will give reasonable advance notice — at least 30 days by email to your account address — before any of the following material changes take effect:

  • A price increase to your subscription.
  • A meaningful reduction in core functionality you rely on.
  • A discontinuation of the Services that would prevent you from accessing your data.

If we ever discontinue the Services entirely, we will provide a reasonable window for you to export your data before access is revoked. Your data export rights survive any discontinuation.

13Warranty disclaimer

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, TradePass and its suppliers disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services will meet your requirements. Reliance on the Services is at your own risk.

14Limitation of liability

To the maximum extent permitted by applicable law, in no event will TradePass or its officers, directors, employees, or suppliers be liable for:

  • Any indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses.
  • Damages arising out of or in connection with your use of (or inability to use) the Services.

Our total aggregate liability arising out of or related to these Terms or the Services, regardless of the form of action, will not exceed the greater of: (a) the amount you paid us in the 12 months immediately preceding the event giving rise to the claim; or (b) CAD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

15Indemnification

You agree to defend, indemnify, and hold harmless TradePass and its officers, directors, employees, and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any law or third-party right; (c) content you upload, post, or otherwise transmit through the Services; or (d) your misrepresentation of credentials, identity, or authority. 16Termination

You can terminate your account at any time from your account settings or by emailing support@mytradepass.app. Cancellation takes effect at the end of the current billing period; you retain access until then.

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, applicable law, or where continued service would expose us or other users to material risk. Where practical we will provide notice and a reasonable opportunity to cure first.

On termination: your data is purged from our active systems within 30 days, subject to the retention exceptions described in our Privacy Policy. You can export your data at any time before termination.

17Governing law and disputes

These Terms are governed by the laws of the Province of Alberta, Canada and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

For users in the United States, the laws referenced above govern the contractual relationship between us; nothing in these Terms limits any non-waivable rights you have under the law of your state of residence.

Before commencing any formal dispute, we ask that you contact us at legal@mytradepass.app so we have a chance to resolve the issue informally. If we cannot resolve a dispute within 60 days, either party may pursue available legal remedies in the courts of competent jurisdiction.

The parties consent to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada for any disputes not subject to non-waivable jurisdiction-specific consumer-protection laws. Reviewdecide arbitration vs. courts; finalize venue + any US class-action waiver

18Changes to these terms

We may update these Terms as the Services evolve. When we make material changes we will notify you at your account email address and post a notice on the marketing site at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may close your account before the effective date.

19Notices

We send notices to you by email to your account address. You may send notices to us at legal@mytradepass.app or by registered mail to the business address listed in our Privacy Policy.

20Force majeure

Neither party will be liable for any failure to perform its obligations under these Terms (other than payment obligations) to the extent the failure is caused by circumstances beyond reasonable control — including natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, government action, or epidemics.

21Severability, entire agreement, assignment

If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will continue in full force.

These Terms, together with our Privacy Policy and any other agreements expressly referenced, constitute the entire agreement between you and TradePass regarding the Services and supersede any prior or contemporaneous agreements on the subject.

You may not assign these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, on prior notice to you.

22No third-party beneficiaries; no waiver

These Terms confer no rights on any third party. Our failure to enforce any provision will not constitute a waiver of that provision or any other.

23Export controls and sanctions

You represent that you are not located in any jurisdiction subject to comprehensive trade sanctions by the Canadian or United States governments, and that you are not on any list of restricted parties maintained by either government. You agree to comply with all applicable export-control and economic-sanctions laws when using the Services.
